1. Inventory and Sales:
OOH Media Co. offers both static and digital advertising inventory, which may be purchased individually or as part of networks, bundles, or packages. Advertisers may request specific locations within purchased groupings, subject to a maximum allocation of 20% of the total locations.
2. Static Advertising Posting:
- Advertisers must submit static advertising materials no later than twelve (12) working days before the campaign start date.
- The posting process will be completed within five (5) working days; however, delays of up to fifteen percent (15%) may occur for specific placements, such as subway railcars.
- Advertisers bear sole responsibility for the replacement of any materials that are lost, stolen, damaged, or otherwise deteriorated.
3) Advertising
- Digital advertising materials must be submitted in the prescribed format and encoding at least ten (10) working days prior to deployment.
- OOH Media Co. guarantees a minimum of eighty percent (80%) display time but is not obligated to exceed this threshold, accounting for potential operational disruptions.
4. Emergency Messaging and Preemptions:
OOH Media Co. reserves the right to preempt advertising content for emergency alerts, Amber Alerts, or other essential public messaging. No reimbursement or credit will be issued for such preemptions.
5. Impression-Based Advertising:
For campaigns structured on impression-based metrics, advertisers will be billed based on the actual impressions delivered:
- Guaranteed Impressions: OOH Media Co. guarantees delivery of at least ninety percent (90%) of the contracted impressions.
- Non-Guaranteed Impressions: No minimum delivery commitment applies.
- Preemptible Impressions: Advertising placements may be displaced by competing content.
- Space Available Impressions: Placement is contingent on available inventory, with proof-of-performance mechanisms employed to verify actual delivery.
6. Inability to Meet Posting Standards:
If OOH Media Co. is unable to fulfill posting obligations due to technical malfunctions, location loss, or other unforeseen disruptions, the Company will provide one of the following remedies:
- Extension of the advertising period.
- Issuance of a pro-rated credit.
- Termination of the agreement with a corresponding reimbursement.
7. Approval and Content Restrictions:
All advertising materials are subject to review and approval by OOH Media Co., as well as by relevant property owners, transit agencies, and other governing entities. Advertisers must ensure compliance with all applicable laws and content regulations.
8. Audience Data and Asset Ratings:
Audience data is provided for planning and informational purposes only. OOH Media Co. makes no warranties or guarantees regarding the accuracy or reliability of such data.
These provisions serve to establish clear operational guidelines and compliance requirements for out-of-home advertising campaigns managed by OOH Media Co.
